Announcement pursuant to art. 5(2) in conjunction with art. 5(5) of the Commercial Companies Code
The Management Board of FAMUR FAMAK SA based in Kluczbork, KRS no.: 76547, on the basis of Art. 5(2) of the CCC, announces that on 25.02.2020 FAMUR SA lost its dominant position in FAMUR FAMAK SA. and that on 25.02.2020 TDJ EQUITY I sp. z o.o. achieved a direct dominant position in relation to FAMUR FAMAK SA as a result of registration by the District Court in Opole, 8th Commercial Division of the National Court Register, on 25.02.2020, of a reduction in the share capital of FAMUR FAMAK SA by reducing the nominal value of shares to cover the losses incurred, with a simultaneous increase in the company's share capital through the issue of series F shares, by private subscription excluding the pre-emptive right of the existing shareholder and the related amendment to the company's Articles of Association, as a result of which TDJ EQUITY I sp. z o.o. holds directly the majority of votes at the general meeting of FAMUR FAMAK SA.
